Terms and Conditions for Use of this Supplier Portal
Loblaw Companies Limited (“Loblaw”) provides this Supplier Portal (“Portal”) for the purpose of facilitating your role as a supplier to Loblaw, and not for any other purpose. BY ACCESSING, BROWSING OR OTHERWISE USING THIS PORTAL, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS (“TERMS”) PROVIDED BELOW. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS, PLEASE DO NOT ACCESS, BROWSE OR USE THE PORTAL. The Terms shall apply to any users you authorize to access the Portal on your behalf (Authorized Users). Loblaw reserves the right to update or modify these Terms at any time without prior notice. You will be notified of such updates or modifications following your login to the Portal and your acceptance of them is necessary if you choose to proceed in the Portal. Your use of this Portal following any such updates or modifications constitutes your agreement to be bound by the updated version of the Terms.
Use of Portal and Portal Material
This Portal is provided for the purpose of facilitating your role as a supplier to Loblaw (the “Authorized Purpose”) and you may not use or copy material from this Portal for any purpose other than the Authorized Purpose. Suppliers and their Authorized Users are responsible for their use of the Portal and any consequences arising from those activities or for any misuse or failure to properly use the Portal. If you breach any provision of these Terms you may no longer access or use the Portal. We may, in our sole discretion, change, suspend or discontinue, temporarily or permanently, the Portal, or your access and use of the Portal, or any part thereof, or any of its features at any time, for any reason, without any notice or liability to you or any other entity. If these Terms or your permission to use the Portal is terminated by us for any reason, the agreement formed by your acceptance of these Terms will nevertheless continue to apply and be binding upon you in respect of your prior use of the Portal and anything relating to or arising from such use. If you are dissatisfied with the Portal or with these Terms, then your sole and exclusive remedy is to discontinue using the Portal. You are prohibited from using this Portal to post or transmit any unlawful, threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic or profane material or any material that could constitute or encourage unlawful conduct. You must not use this Portal in any way that causes or may cause, damage to the Portal or impairment of the availability or accessibility of the Portal or to send, use, publish or distribute any malicious software – including, without limitation, computer viruses, spyware, worms, Trojan horses, keystroke logs, rootkits or any other malware. The information on this Portal may contain typographical errors or inaccuracies, and may not be complete or current. Loblaw reserves the right to correct any errors, inaccuracies or omissions and to change or update information and material at any time without prior notice.

Idea Submission/Use of Information
Loblaw does not accept unsolicited ideas for new products, packaging, marketing, advertising, research, business operations and the like. Should you ignore this policy and submit an unsolicited idea to Loblaw, you agree that the idea becomes and remains the sole and exclusive property of Loblaw without further liability or compensation to you. Except with respect to a formal bidding process or Request For Proposal (RFP) process facilitated through the Portal, if you respond to Loblaw with any information, including but not limited to feedback, data, questions, comments, suggestions and the like, such information shall not be deemed confidential. All such submissions shall be deemed the property of Loblaw, and your submission of such information shall constitute an assignment to Loblaw of all worldwide rights, titles and interests in such information. Loblaw will not be liable for any use or disclosure of such information. Loblaw will not have any obligation to keep such information confidential, and will be free to reproduce, use, disclose and distribute the information to others without limitation. Loblaw will be free to use any ideas, concepts, know-how or techniques contained in such information for any purpose whatsoever, including but not limited to developing, manufacturing and marketing products that incorporate or otherwise rely upon such information. Applicable Law
You agree that the laws of the Province of Ontario, Canada, govern any use of this Portal, without regard to rules relating to conflict of laws, including with regard to any dispute arising out of your use of this Portal or material from this Portal. The United Nations Convention on Contracts for the International Sale of Goods shall not apply. The courts of the Province of Ontario shall have exclusive jurisdiction over all claims.
Severability
If any provision of this agreement is unenforceable, that provision shall be deemed severed from this agreement and shall not affect the validity and enforceability of the remaining provisions.
